Seller Agreement

Fees, payouts and program terms for sellers. It adds to the Terms of Service.

1. Scope

This agreement applies to everyone who opens a store on SellSpace and adds to the Terms of Service, the Acceptable Use Policy and the Data Processing Terms. The operator is SellSpace.

2. Plans and fees

• The fee is a percentage of the sale amount, with a minimum of one cent. It is deducted automatically when the payment is processed and shown on each order. It is calculated on the sale amount charged to the Buyer and rounded to the nearest cent.
• The fee that applies is that of the plan your account had at the time of the sale.
• Stripe's processing fees are charged by Stripe in addition, under Stripe's pricing for your account and country.
• Order e-mails to customers: Premium and Pro. On Free, no order e-mails are sent to your customers; they receive their purchase on the order page and in My account.
• Plan features (custom domain, extra sections, pixel grid, custom CSS, team seats, priority support) are listed on the pricing section of the website and in the dashboard.
• Subscriptions are billed monthly through Stripe. VAT on our fees is explained in the Terms (article 4.4).
• Changes to fees and prices need at least 15 days' notice (Terms, article 8.2) and do not affect sales already made.

3. Stripe Connect and payouts

• You must connect your own Stripe account through Stripe Connect and accept Stripe's terms and verification. Without a ready Stripe account Buyers cannot pay.
• Sale proceeds go to your Stripe account and are paid to your bank under Stripe's payout schedule. SellSpace does not hold your sales proceeds.
• Refunds, disputes, chargebacks and their fees are yours (Terms, article 5).
• We may suspend or cancel payouts only as far as the law, Stripe or a court requires, or as the Terms allow for breach or fraud.

4. Your duties as the seller

• You are the trader and the seller of record. Follow the Acceptable Use Policy and EU consumer law (Terms, article 6), including information duties, withdrawal rules for digital content, conformity and price reduction rules.
• You are responsible for your taxes, including VAT. We do not collect VAT on your behalf.
• Describe products honestly, keep stock keys and files valid, publish refund rules, and answer Buyers and support tickets in a reasonable time.

5. Marketplace

If you sell templates in the community marketplace, SellSpace keeps a 15% commission on each sale; the rest is paid to your Stripe account. Listings are moderated and can be removed if they break the rules. You must have the rights to what you list. Buyers receive the licence described in the Terms (article 12). Listings are shown according to the sort option the visitor picks; there are no paid placements.

6. Partner program

• Partners (for example streamers) refer new sellers with a personal link.
• A partner receives 20% of SellSpace's own revenue (subscription fees and transaction fees) from the shops they referred. It is not a share of the referred sellers' sales and does not change what they pay.
• The share is calculated per period and shown in a statement in the partner dashboard. Payout timing and method are shown there as well.
• Partners are independent, not employees or agents. They are responsible for their own taxes and for lawful, honest promotion (clearly marked advertising where required).
• Self-referrals, fake shops and artificial payments are prohibited. We can withhold or reverse a share and end the partnership in case of abuse. A suspended partner's link stops working and new earnings pause.
• We may change or end the program with notice; shares already earned for completed periods remain payable unless obtained through abuse.

7. Media Helpers

• Participants can earn a discount on paid templates by making videos about SellSpace and submitting them for review.
• Videos must be your own, contain the required hashtag, follow the platform rules of the site where you post, and not use artificial views, bots or copied content. We decide at our reasonable discretion whether a video is approved and which views count.
• The discount is currently EUR 0.01 per 3 verified views, applies only to the template price, is not payable in cash and cannot be transferred.
• Videos are checked for a limited period (currently 6 months); after that, views are frozen.
• Fake or manipulated videos are rejected and can lead to removal and loss of the discount.

8. Term and ending

You can close your store at any time. We can suspend or end the agreement as set out in the Terms (articles 8.3 and 19). Outstanding fees remain payable, and we keep the records we must keep.

9. Governing law

This agreement is governed by Dutch law. The competent courts of the Netherlands decide, without prejudice to mandatory rules. Contact: [email protected].
